Prior to performing Work on behalf of any Whizdom Host Client, the Contractor (or any sub-contractor Personnel) confirms:

that no conflict of interest exists or is likely to arise in the performance of its obligations under the contract of work
if during the contract term a conflict of interest arises, or appears likely to arise, the Contractor (or any sub-contractor Personnel) must notify Whizdom immediately in writing and must take such steps that Whizdom or the Host Client may may reasonably require to resolve or otherwise deal with the conflict.
The Contractor must ensure that they (or any sub-contractor Personnel) do not engage in any activity or obtain any interest during the course of the contract term that conflicts with, or is likely to conflict with, or restrict the Contractor (or any sub-contractor Personnel) in providing the Services outlined in the engagemet contract fairly and independently.
